This agreement is between D3 Networks LLC (“we,” “us”) and the client organization authorized to use our customized bookkeeping automation system (the “system”) (“you”). By using the system or connecting a QuickBooks Online company to it, you agree to these terms.
We grant you a private, non-exclusive, non-transferable, revocable license to use the system for your organization's own bookkeeping. It is a private service for authorized clients of D3 Networks LLC; your license covers your organization only and may not be resold, sublicensed, or made available to third parties.
The system connects to the QuickBooks Online companies you authorize through Intuit's official API. It reads accounting data to answer your questions and proposes changes to the books. Proposed changes are made only after you review and explicitly approve them.
You are responsible for reviewing every proposed change before approving it, for the accuracy of your books and any filings based on them, for keeping your messaging channels and credentials secure, and for using the system only for lawful purposes and only with QuickBooks companies you are authorized to manage.
QuickBooks and QuickBooks Online are trademarks of Intuit Inc. The system is an independent service and is not affiliated with, endorsed by, or supported by Intuit. Your use of QuickBooks Online is governed by your agreement with Intuit, and Intuit bears no responsibility for the system.
The system assists with bookkeeping mechanics. It does not provide accounting, tax, or legal advice, and its output is not a substitute for the judgment of a qualified professional.
The system is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data. Our total liability for any claim arising out of this agreement is limited to the fees you paid for the service in the twelve months preceding the claim.
Either party may terminate at any time. You may also revoke the system's access to any company through Intuit's connected-apps settings. Upon termination we will delete stored tokens and, on request, learned rules and conversation history.
This agreement is governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-law rules.
